Our team has developed a suite of standardized agreements that help facilitate collaborations between industry and our researchers.
A Material Transfer Agreement (MTA) is a legal contract which designates the terms to be followed for the transfer of experimental materials (biological, mechanical, electronic, etc.) coming into or going out of the University.
The University of Mississippi Office of Sponsored Research Administration (ORED-SPA) manages MTAs.

A Confidential Disclosure Agreement or CDA (also known as a Non-Disclosure Agreement or NDA) is a legal contract which protects the confidential information generated at UM and/or that of our outside collaborators. This includes information which is confidential in nature (i.e. patentable ideas) given at internal or external seminars, in discussions with visitors to the University, and in conversations with colleagues during professional meetings.
One of the most important reasons for a Confidential Disclosure Agreement is relevance for patent protection. Disclosure of a patentable idea without proper confidentiality agreements can negate patent filing rights.

Our office negotiates all license and option agreements related to the commercialization of University-owned technologies.
Standard terms for licensing UM technologies may involve several different arrangements. For example, upfront license fees, running royalties, and/or equity. Because each technology has a different market value and industry standards vary by technology, the exact arrangements are negotiated through the Director of Technology Commercialization.
